The use of WEELOAD, hereinafter referred to as the "Website", shall be governed by the following Terms and Conditions of Use, hereinafter referred to as "Terms".  The following Terms contain the whole agreement between WEELOAD and the USER, hereinafter referred to as "You", whichever profile or membership category they are registered to, and shall prevail over any other offers, promises, inducements, and representations, which either party may have given prior to the execution hereof.

If any provision hereof is declared invalid, illegal or unenforceable by any judicial, quasi-judicial or administrative body of competent jurisdiction, the remaining provisions, insofar as sufficient to govern the relationship between the parties herein shall remain valid and binding.

Our PRIVACY POLICY is subject to change at our sole discretion and any private information provided is not available except for the use of WEELOAD and its sole agency subject to all existing laws as applicable.

WEELOAD services are available only to individuals or any other entities with legal personality (such as businesses, organizations, and groups as applicable per WEELOAD membership profiles requirements) who can form legally binding contracts under applicable law. Without limiting the foregoing, our services are not available to minors or users who have been indefinitely or permanently banned from WEELOAD. If you do not qualify, please do not use our services.

License

For the sole purpose of enabling WEELOAD to use the information you supply us with, so that we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise the copyright, publicity, and database rights (but no other rights) you have in Your Information, in any media now known or not currently known, with respect to Your Information.  WEELOAD will only use Your Information in accordance with our PRIVACY POLICY.

WEELOAD is a business portal that acts as a platform to allow registered and guest users to sell and send a wide array of prepaid products, at anytime, from anywhere, using either the mobile phone or the internet.  

      Release from Liability

Because WEELOAD is not involved in the actual transaction between buyers and sellers, in the event that you have a dispute with one or more users, you release WEELOAD (including all our officers, directors, agents, subsidiaries and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

      Information Control

We do not control the information provided by other users which is made available through our system. You may find other user's information to be offensive, harmful, inaccurate, or deceptive. Please use caution, common sense, and practice safe transactions when using our site. Please note that there are also risks in dealing with underage persons or people acting under false pretense.

Fees and Other Charges

WEELOAD reserves the right to charge posting fees and all other transaction fees for certain posting, as well as transaction fees based on certain transactions provided by WEELOAD.  WEELOAD further reserves the right to change any and all fees from time to time without prior notice.  You shall be solely and completely responsible for all charges, fees, duties, taxes, and assessments arising out of the use of WEELOAD services.

Legal Compliance

You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our service and your posting, purchase, solicitation of offers to purchase, sale, trading, and auction of items.

External Sites

WEELOAD may contain links to other sites on the Internet that are owned and operated by third party merchants and other third parties ("External Sites"). You acknowledge that WEELOAD is not responsible for the availability of, or the content located on or through, any External Site. You should contact the site administrator or Webmaster for those External Sites if you have any concerns regarding such links or the content located on such External Sites.

Indemnity

You agree to indemnify and hold us and (as applicable) our partners, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.
 

Disclosure

WEELOAD rights ownership disclosure works to ensure that listed items do not infringe upon the copyright, trademark or other rights of third parties. WEELOAD users and other rights owners can report infringing items, and request for such items to be removed.  All web site participants and other rights owners may have limited access to some of your personally identifiable information as is standard per our PRIVACY POLICY.

Breach and Termination

Without limiting any other remedies, WEELOAD may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership and refuse to provide our services to you:

(a) if you commit breach of this Terms or the documents it incorporates by reference;

(b) if we are unable to verify or authenticate any information you provide to us; or

(c) if we believe that your actions may cause legal liability for you, our users or us.

WEELOAD may also suspend or terminate your account if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the use of our Website.

Suspended and/or terminated members are not allowed to enter into any transactions immediately following the issuance of membership termination.  Suspended and/or terminated members must complete all ongoing transactions within the reasonable time required for each particular transaction.  Suspended members may appeal to WEELOAD (through channels and with formal documentation) for the suspension to be lifted prior to its culmination date.  Terminated members are not anymore allowed to avail themselves of the services of WEEBAY.
